These Terms of Service govern your access to and use of the UiPrime desktop application and website provided by Priyam Infosystems Pvt Ltd
By installing, activating, or using the UiPrime software application or accessing our online website, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you (or your employer/organization) and Priyam Infosystems Pvt. Ltd.
If you do not agree with all terms set forth herein, you must immediately cease downloading, installing, or using the software.
Subject to compliance with these Terms and payment of applicable license fees, Priyam Infosystems Pvt Ltd grants you a non-exclusive, non-transferable, revocable license to install and run UiPrime on authorized desktop devices:
Granted for a limited evaluation period for internal testing and review of operations workflows.
Bound to designated workstations or user seats specified in your enterprise subscription agreement.
As a condition of licensing UiPrime, you agree that:
UiPrime, including its binary code, UI design, icons, logos, branding, documentation, and underlying automation framework, is the sole and exclusive intellectual property of Priyam Infosystems Pvt Ltd and is protected by Indian copyright laws, international treaties, and trademark rights.
Nothing in these Terms transfers any ownership right or title of the software software codebase to you.
You explicitly agree NOT to:
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of UiPrime.
• Modify, adapt, translate, rent, lease, sublicense, or distribute the software to unauthorized third parties.
• Circumvent or disable license validation controls, hardware locks, or activation protocols.
• Use the software to access third-party computer systems or data without proper authorization.
UiPrime is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
To the maximum extent permitted under applicable law, Priyam Infosystems Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or business data arising out of or related to the use or inability to use the software.
We reserve the right to revoke license privileges or terminate access to trial features immediately upon notice if you breach any provision of these Terms. Upon termination, you must cease all use of UiPrime and remove all copies from your computers.
These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
